1. Introduction and eligibility
These Terms of Use (the “Terms”) govern your access to and use of the website at delegate.sg, the vendor directory, the multi-enquiry tools and the Wedding Desk productivity tool (together, the “Site” and the “Services”), operated by DELEGATE PTE LTD (“Delegate”, “we”, “us” or “our”), a company incorporated under the laws of Singapore with registration number 201511320E and registered address at 22 North Canal Road #03-01, Singapore 048834.
The Site is available to individuals aged 18 years or older. If you are under 18, you may use the Site only with the involvement of a parent or guardian. By registering, you agree to provide true, current and complete information, including your real name, email address and phone number, and to keep that information up to date. Where you provide payment details, you confirm they are valid and that you are authorised to use them.
By accessing or using the Site, you agree to be bound by these Terms and by the policies referenced in them. If you do not agree, you must not use the Site.
We may modify these Terms from time to time. When we do, we will post the revised Terms on this page and update the “Last Updated” date, and may notify you by email or through the Site. Changes take effect no earlier than seven (7) days after posting, except that changes addressing new features or made for legal reasons take effect immediately. Continued use of the Site after changes take effect constitutes acceptance.
2. How Delegate works
Delegate is a listing platform and marketplace that connects couples and event planners (“Users”) with wedding and event professionals (“Vendors”). We provide the platform only. We are not a party to any transaction, contract or engagement between a User and a Vendor, and we do not control or guarantee the quality, safety, legality or accuracy of any listing, service or communication. Any dispute arising from an engagement between a User and a Vendor is solely between them.
For Users: you can browse the directory to discover Vendors, send an enquiry to one or more Vendors at the same time (“multi-enquiry”), and organise and manage your shortlisted Vendors using Wedding Desk.
For Vendors: you can create or claim a listing on the directory free of charge, receive leads from interested Users, and unlock those leads to obtain the User’s contact details and follow up.
3. Accounts
Certain features require registration. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account, and you must notify us immediately of any unauthorised use. You must not create an account in another person’s name, impersonate any person or business, share or transfer your account, or use the Site to send unsolicited messages or otherwise interfere with its operation. We may decline, suspend or terminate any registration at our discretion.
4. Vendor listings and leads
Vendors may create, claim and maintain a directory listing for free, and are responsible for ensuring that all information in a listing they control is accurate, lawful, up to date and not misleading, and that they hold all licences and permissions required to offer their services.
When a User sends an enquiry, it is delivered to the relevant Vendor as a lead. Each Vendor is entitled to a limited number of free leads (currently the first three (3) leads). After the free leads are used, the Vendor must unlock a lead before the associated User’s full contact details are revealed. Vendors should review and respond to leads promptly, and inform the User as soon as practicable if they are unable to provide the requested services. How enquiry and lead data is handled is set out in the Privacy Policy; misuse of that data or any attempt to circumvent the lead system may result in suspension or termination.
5. Unclaimed and verified listings
Directory listings are shown in one of two states:
Unclaimed listings. Delegate originally launched in 2015. Following a period of hiatus, the platform has now been brought back online, and we have recreated listings for vendors who were part of Delegate during that time. These “unclaimed” listings are compiled from information previously provided to Delegate and/or publicly available business information, and are clearly labelled as unclaimed. Because they have not yet been confirmed by the vendor, Delegate does not warrant that unclaimed listings are complete, current or accurate.
Verified listings. A listing becomes “verified” once the relevant vendor claims it and confirms that they control the business. A verified vendor is responsible for the content of their listing and for keeping it accurate and up to date.
A vendor may claim an unclaimed listing at any time in order to update, manage or verify it. If a vendor does not wish to be listed, or wishes to correct or remove information, they may contact us at support@delegate.sg and we will action reasonable requests promptly. Delegate reserves the right to add, edit, decline, suspend or remove any listing at its discretion.
6. Fees, payments and subscriptions
The following paid Services are offered on the Site. Prices are shown on the Site and are in Singapore Dollars unless stated otherwise. We may change our fees and plans from time to time by posting updated pricing on the Site.
Pay-per-lead: after a Vendor’s free leads are used, a single lead may be unlocked for S$8 per lead (or the amount displayed on the Site at the time).
Unlimited leads subscription: a Vendor may instead subscribe to unlock unlimited leads on a recurring monthly basis at the subscription fee displayed on the Site. Subscriptions renew automatically each month until cancelled, and cancellation takes effect at the end of the current billing period.
Wedding Desk: Users may purchase lifetime access to the Wedding Desk productivity tool for a one-time fee of S$8 (or the amount displayed on the Site). “Lifetime” refers to the operational lifetime of the Wedding Desk service and does not guarantee that the service will be offered indefinitely.
All payments are processed by our third-party payment processor, Stripe. By making a purchase you also agree to Stripe’s terms. You confirm that any payment method you use is yours or that you are authorised to use it. We do not store your full card details. We are not liable for delays or losses caused by your card issuer or the payment processor.
Except where required by the Consumer Protection (Fair Trading) Act 2003 or other applicable law, all fees are for digital services, are charged when the transaction is confirmed, and are non-refundable. Cancelling a subscription stops future renewals but does not refund fees already paid for the current period.
7. Multi-enquiry and acceptable use
The multi-enquiry feature lets Users contact several Vendors at once. You agree to use it in good faith to make genuine enquiries, and not to send spam, solicitations, or bulk or automated messages. You must not use the Site or any data obtained through it to send unsolicited marketing, to scrape or harvest data, or to compete with or replicate the Site.
8. Artificial intelligence
We use AI to support certain features, including cost benchmarks and enquiry generation, as described in our Responsible AI Policy. AI-assisted content and benchmarks are provided for convenience, may be inaccurate or incomplete, and are not professional, financial or legal advice - you should verify them before relying on them, and you remain responsible for any content you send. Our handling of data in connection with AI is described in the Privacy Policy and the Responsible AI Policy.
9. Content you upload
You retain ownership of the content you submit (including listing text, images, messages and reviews) (“User Content”). By submitting User Content, you grant Delegate a worldwide, royalty-free, sublicensable licence to host, use, reproduce, adapt and display that content in connection with operating and promoting the Site. You represent and warrant that you own or have the rights to all User Content you submit, that it does not infringe any third-party rights, and that it is not unlawful, defamatory, obscene, harassing or otherwise objectionable. We may remove any content at our discretion.
10. Reviews
Reviews must be honest and based on genuine experience. You must not post fake or incentivised reviews, offer or accept compensation for favourable reviews, or manipulate the review system. Reviews submitted through the Site may be displayed by us and, subject to the licence above, form part of the Site. Attempting to undermine the integrity of the review system may result in suspension or termination.
11. Intellectual property
The Site and its content - including its design, look and feel, text, graphics, logos, software and code (excluding User Content) - are owned by or licensed to Delegate and are protected by intellectual property laws. You may not copy, modify, distribute, frame, reverse engineer or create derivative works from the Site or its content without our prior written permission, and you must not use any name or trademark confusingly similar to ours.
12. No agency
Nothing in these Terms creates any partnership, joint venture, agency, franchise or employment relationship between you and Delegate. You have no authority to bind or make commitments on behalf of Delegate.
13. Disclaimers
The Site and Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, to the maximum extent permitted by law. We do not warrant that the Site will be uninterrupted, error-free or secure, or that any listing, Vendor or User is accurate, reliable or suitable for your needs.
14. Limitation of liability
To the maximum extent permitted by law, Delegate and its affiliates, officers, employees and agents will not be liable for any indirect, incidental, special or consequential loss, or for any loss of profits, data, goodwill or business, arising out of or relating to your use of the Site or any dealing with a User or Vendor. Nothing in these Terms excludes any liability that cannot be excluded under Singapore law.
15. Indemnity
You agree to indemnify and hold harmless Delegate and its affiliates from and against all claims, losses, damages, costs and expenses (including reasonable legal fees) arising out of or relating to your use of the Site, your User Content, your dealings with other Users or Vendors, or your breach of these Terms or of any applicable law.
16. Suspension and termination
We may suspend, restrict or terminate your access to the Site at any time, with or without notice, if we believe you have breached these Terms or acted unlawfully or inconsistently with their spirit, or for any other reasonable ground. We may also modify or discontinue the Site, in whole or in part, at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability and indemnity) will continue to apply.
17. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Singapore. Any dispute arising out of or in connection with the Site or these Terms is subject to the exclusive jurisdiction of the courts of Singapore.
18. General
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any right is not a waiver of that right. You agree that we may give notices to you by email, by posting on the Site, or by other reasonable means, and that electronic communications and records have the same legal effect as signed written documents.
